Terms & Conditions – BND DIGITAL LLC

These Terms & Conditions govern the use of the services, websites, communications, and business activities provided by BND DIGITAL LLC.

By engaging BND DIGITAL LLC, entering into a service agreement with us, or using our services, you acknowledge that you have read and understood these Terms & Conditions and agree to be bound by them, subject to any separate written agreement between the parties.

2. About BND DIGITAL LLC

BND DIGITAL LLC is a digital services company specializing in the management, development, operation, optimization, and support of e-commerce businesses and online stores.

Our activities may include services related to Shopify and other e-commerce platforms, digital operations, store administration, product management, technical support, marketing operations, analytics, customer experience, and business growth.

The exact services provided to each client are determined by the applicable proposal, service agreement, statement of work, invoice, or other written arrangement between BND DIGITAL LLC and the client.

3. Services

Depending on the agreed scope of work, BND DIGITAL LLC may provide services including:

Shopify store management
E-commerce store setup and development
Store configuration and optimization
Product and catalogue management
Website content management
Store maintenance
E-commerce operational management
Marketing and advertising support
Performance analysis
Conversion optimization
Customer-service support
Technical integrations
Automation
Reporting and analytics
International e-commerce support
General digital business consulting

Not every service listed above is included in every client engagement.

Specific deliverables, responsibilities, deadlines, and fees may be established separately between BND DIGITAL LLC and the client.

4. Client Responsibilities

Clients are responsible for providing accurate, complete, and timely information necessary for BND DIGITAL LLC to perform the agreed services.

Clients are also responsible for ensuring that:

Products and services offered through their stores are lawful.
Product descriptions and business claims supplied to us are accurate.
They have the necessary rights to use trademarks, images, videos, product information, and other materials supplied to BND DIGITAL LLC.
Their business complies with applicable laws and regulations.
Required licenses, registrations, permits, and authorizations are maintained.
Payment, tax, shipping, return, and consumer-protection obligations applicable to their business are properly addressed.
Access credentials and permissions supplied to BND DIGITAL LLC are authorized.

Clients must promptly notify us of material changes that could affect the services.

5. Independent Online Stores

BND DIGITAL LLC may provide services to multiple independently operated e-commerce stores.

Unless expressly stated otherwise in writing, the individual online stores managed, developed, or supported by BND DIGITAL LLC remain responsible for their own commercial transactions with their customers.

A store's own policies may govern matters such as:

Purchases
Orders
Payments
Shipping
Delivery
Returns
Exchanges
Refunds
Product warranties
Customer disputes

BND DIGITAL LLC's role in managing or supporting an online store does not automatically make BND DIGITAL LLC the seller of record, merchant of record, manufacturer, supplier, or owner of products offered by that store.

The actual legal and operational structure of each store will determine the responsibilities of the parties.

6. Third-Party Platforms

Our services may depend on third-party platforms and providers, including e-commerce platforms, payment processors, advertising networks, hosting providers, analytics systems, logistics providers, applications, APIs, and other technology services.

These third-party services operate under their own terms, policies, technical requirements, and availability.

BND DIGITAL LLC does not control the independent decisions of third-party providers.

This includes decisions involving:

Account reviews
Platform restrictions
Account suspensions
Payment holds
Payment reserves
Payout schedules
Advertising-account restrictions
Changes to platform functionality
API availability
Third-party outages

Where appropriate, BND DIGITAL LLC may assist clients in addressing such matters, but cannot guarantee that a third party will approve, reinstate, verify, or maintain an account.

7. Shopify

Some BND DIGITAL LLC services may involve stores operating through Shopify.

Shopify is an independent third-party platform and maintains its own terms, policies, payment requirements, eligibility standards, and acceptable-use requirements.

BND DIGITAL LLC does not control Shopify's independent compliance, risk, verification, payment, account, or platform decisions.

Clients remain responsible for complying with the applicable requirements governing their Shopify accounts and stores.

8. Fees and Payment

Service fees will be determined through the applicable agreement, proposal, invoice, subscription, or other commercial arrangement.

Unless otherwise agreed in writing:

Payments must be made according to the stated payment schedule.
Clients are responsible for applicable fees and charges.
Additional work outside the agreed scope may require additional payment.
Third-party expenses may be charged separately.
Services may be suspended for overdue amounts where permitted by the applicable agreement and law.

Specific payment terms communicated in a signed agreement or accepted proposal will take precedence over general provisions in these Terms.

9. Advertising and Third-Party Expenses

Advertising budgets, application subscriptions, Shopify fees, payment-processing charges, domain registrations, shipping costs, software subscriptions, and other third-party expenses are not automatically included in BND DIGITAL LLC's service fees.

Where applicable, responsibility for these expenses will be determined in the relevant client agreement.

10. No Guarantee of Business Results

E-commerce performance depends on numerous factors outside the direct control of BND DIGITAL LLC.

Accordingly, unless expressly guaranteed in a separate written agreement, we do not guarantee:

A specific amount of revenue
A specific number of sales
A particular conversion rate
Profitability
Advertising performance
Search-engine rankings
Customer acquisition costs
Platform approval
Payment processor approval
Account reinstatement
Specific business growth

Historical performance, projections, estimates, or examples do not constitute guarantees of future results.

11. Intellectual Property

Unless otherwise agreed in writing, BND DIGITAL LLC retains ownership of its pre-existing intellectual property, internal processes, methodologies, systems, templates, know-how, and proprietary materials.

Clients retain ownership of intellectual property they lawfully provide to BND DIGITAL LLC.

Ownership or licensing rights for materials specifically created for a client may be established in the relevant service agreement.

12. Confidentiality

During the provision of services, either party may receive confidential or commercially sensitive information belonging to the other.

Such information may include:

Business strategies
Store information
Financial information
Sales data
Supplier information
Marketing strategies
Customer-service procedures
Analytics
Access credentials
Internal processes

Each party should take reasonable measures to protect confidential information and use it only for legitimate purposes connected with the business relationship, subject to applicable agreements and legal obligations.

13. Account Access and Security

Clients may authorize BND DIGITAL LLC to access certain business accounts or systems for the purpose of providing services.

Access should be granted through appropriate staff, collaborator, administrator, API, or other authorized access mechanisms whenever available.

Both parties are expected to maintain reasonable security practices.

Clients should promptly revoke access when it is no longer required.

14. Data Protection

Personal information processed in connection with our services will be handled in accordance with our Privacy Policy, applicable contractual obligations, and relevant data-protection requirements.

Where BND DIGITAL LLC processes personal information on behalf of a client, additional data-processing terms may be required depending on the nature of the relationship and applicable law.

15. Prohibited Uses

BND DIGITAL LLC services may not knowingly be used to facilitate unlawful activities.

Clients must not intentionally use our services to:

Commit fraud
Sell prohibited or unlawful goods or services
Infringe intellectual property rights
Conduct deceptive commercial practices
Distribute malicious software
Violate applicable consumer-protection requirements
Engage in activities prohibited by applicable law

BND DIGITAL LLC may decline or discontinue services where continued involvement would create material legal, regulatory, security, or contractual risks.

16. Suspension or Termination of Services

Services may be suspended or terminated according to the applicable client agreement.

Circumstances may include:

Non-payment
Material breach of an agreement
Unlawful activity
Abuse of services
Security risks
Misrepresentation
Failure to provide information necessary to perform the services
Material violations of third-party platform requirements

Where appropriate and legally permitted, reasonable notice may be provided before termination.

17. Limitation of Liability

To the fullest extent permitted by applicable law, BND DIGITAL LLC will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages arising from the use of its services.

This may include loss of profits, loss of business opportunities, loss of data, or losses resulting from third-party platform interruptions or decisions.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.

Any specific limitation of liability agreed in a separate written contract between BND DIGITAL LLC and a client will govern that relationship.

18. Indemnification

To the extent permitted by applicable law and any applicable service agreement, clients may be responsible for claims, losses, liabilities, or expenses arising from materials, products, instructions, representations, or unlawful activities supplied or controlled by the client.

Any contractual indemnification obligations agreed separately between the parties will take precedence over this general provision.

19. Force Majeure

BND DIGITAL LLC will not be responsible for delays or failures caused by circumstances reasonably outside its control, subject to applicable law.

Such circumstances may include major internet outages, infrastructure failures, natural disasters, government actions, cyber incidents, third-party platform outages, or other extraordinary events.

20. Changes to Services

We may modify, improve, replace, or discontinue aspects of our services as our business and technology evolve.

Material changes affecting an existing contractual engagement will be handled according to the applicable agreement.

21. Governing Law

Unless otherwise required by applicable law or established in a separate written agreement, these Terms & Conditions are governed by the laws applicable to BND DIGITAL LLC in the State of New Mexico, United States, without regard to conflict-of-law principles.

Nothing in this provision removes mandatory rights that applicable law may provide to a party.

22. Changes to These Terms

BND DIGITAL LLC may periodically update these Terms & Conditions to reflect changes in our services, business practices, or applicable requirements.

The current version will display its latest revision date.
