3. Scope of Services

Before or during the commencement of an engagement, BND DIGITAL LLC and the client may establish the scope of services through a written proposal, contract, invoice, statement of work, email confirmation, or other mutually accepted arrangement.

The specific level of control and responsibility assigned to BND DIGITAL LLC depends on the agreement with each client.

Management or technical access to a store does not, by itself, establish BND DIGITAL LLC as the owner, merchant of record, seller of record, manufacturer, supplier, or legal operator of that store.

5. Shopify Management

Where contracted, BND DIGITAL LLC may provide services for stores operating on Shopify.

These services may include:

Store configuration
Theme management
Product administration
Collection management
Application configuration
Storefront optimization
Content updates
Analytics monitoring
Operational support
Customer-experience improvements
Technical troubleshooting

Shopify remains an independent third-party platform.

BND DIGITAL LLC cannot guarantee the continued availability of Shopify services or the approval, verification, reinstatement, or continued eligibility of any Shopify or Shopify Payments account.

6. Client Cooperation

Effective service delivery requires cooperation between BND DIGITAL LLC and the client.

Clients are expected to provide:

Accurate business information
Necessary account access
Product information
Required documentation
Brand assets
Instructions and approvals
Timely responses when decisions are required

Delays caused by missing information, unavailable access, delayed approvals, or other matters outside BND DIGITAL LLC's reasonable control may affect delivery schedules.

7. Account Credentials and Access

Clients may provide BND DIGITAL LLC with authorized access to platforms necessary to perform the contracted services.

Whenever available, collaborator accounts, staff permissions, administrator roles, APIs, or other secure access mechanisms should be used.

BND DIGITAL LLC will use such access solely for legitimate purposes connected with the agreed services.

Clients remain responsible for maintaining ownership and ultimate control of their accounts unless otherwise agreed.

8. Client Content and Materials

Clients are responsible for ensuring they have the necessary rights and permissions for materials provided to BND DIGITAL LLC.

This may include:

Logos
Trademarks
Product photographs
Videos
Product descriptions
Advertising materials
Customer information
Brand assets
Written content

BND DIGITAL LLC may rely on information supplied by clients when performing services.

9. Products and Store Compliance

Unless specifically included within a written agreement, BND DIGITAL LLC does not provide legal, tax, regulatory, or product-compliance certification.

The client is responsible for ensuring that products and services offered through its stores comply with applicable laws, platform rules, intellectual-property requirements, product-safety requirements, and consumer-protection obligations.

BND DIGITAL LLC may refuse to manage or promote products or activities that present material legal, compliance, security, or platform-policy risks.

10. Customer Service Operations

Where customer-service management is included in the contracted services, BND DIGITAL LLC may assist with:

Customer inquiries
Order-related communications
Delivery inquiries
Return requests
Refund requests
General store support
Complaint management

Customer-service actions will be performed according to the relevant store's policies, client instructions, applicable agreements, and legal requirements.

The individual store remains responsible for ensuring that its consumer-facing policies accurately reflect its actual commercial practices.

11. Third-Party Services

E-commerce operations frequently depend on independent third parties.

These may include:

Shopify
Payment processors
Banks
Advertising platforms
Social-media platforms
Shipping providers
Fulfilment providers
Domain registrars
Hosting companies
Analytics providers
Applications and software providers

BND DIGITAL LLC is not responsible for failures, suspensions, restrictions, policy changes, outages, payment holds, reserves, or other independent actions taken by these third parties.

Where included within the service scope, we may assist the client in communicating with or addressing issues involving a third-party provider.

12. Service Availability

BND DIGITAL LLC aims to provide services professionally and within agreed schedules.

However, uninterrupted availability cannot be guaranteed where performance depends on third-party systems, internet infrastructure, client cooperation, external service providers, or circumstances outside our reasonable control.

13. Project Timelines

Estimated completion dates may be provided for projects or individual tasks.

Unless expressly agreed otherwise in writing, estimated dates are not guarantees.

Timelines may change due to:

Changes in project scope
Client-requested revisions
Delayed approvals
Missing information
Third-party platform issues
Technical complications
Circumstances outside our reasonable control

We will make reasonable efforts to communicate material delays affecting an active project.

14. Revisions

Where revisions are included in a service package, the number and scope of revisions may be specified in the relevant agreement.

Requests that substantially change an approved project, design, configuration, or original scope may constitute additional work.

15. Service Fees

Prices for BND DIGITAL LLC services may vary according to:

The applicable price will be communicated through the relevant proposal, contract, invoice, or other commercial agreement.

16. Additional Costs

Payment-processing fees
Shipping and fulfilment expenses

BND DIGITAL LLC will not automatically assume responsibility for these expenses merely because it manages or supports the relevant store.

17. Performance and Results

BND DIGITAL LLC may implement strategies designed to improve store operations, customer experience, efficiency, marketing, conversion, and business growth.

However, e-commerce results depend on multiple variables.

Unless expressly agreed in writing, we do not guarantee specific:

Sales volumes
Revenue
Profit
Return on advertising spend
Conversion rates
Customer acquisition costs
Traffic volumes
Search rankings
Platform approvals

Performance projections and estimates should not be interpreted as guarantees.

18. Platform Reviews and Account Decisions

BND DIGITAL LLC cannot control decisions made by Shopify, payment processors, advertising platforms, banks, or other independent service providers.

If a client's account is reviewed, restricted, suspended, placed on reserve, or otherwise affected by a platform decision, BND DIGITAL LLC may provide operational assistance where included within the service scope.

However, we cannot guarantee the reversal or outcome of any third-party decision.

19. Confidentiality

BND DIGITAL LLC recognizes that e-commerce management may provide access to commercially sensitive information.

We take reasonable measures to protect confidential information obtained through our business relationships.

Clients are likewise expected to respect BND DIGITAL LLC's confidential information, proprietary processes, strategies, methodologies, and internal business materials.

20. Intellectual Property

Pre-existing intellectual property belonging to either party remains the property of that party.

Ownership or licensing rights for custom materials produced during a project may be established by the applicable agreement.

Third-party assets remain subject to the licenses and intellectual-property rights of their respective owners.

21. Suspension of Services

BND DIGITAL LLC may suspend services when reasonably necessary due to:

Overdue payments
Material contractual violations
Security concerns
Unauthorized or unlawful activities
Failure to provide required information
Abuse of our systems or personnel
Significant platform-compliance concerns

Any suspension will remain subject to the applicable contract and applicable law.

22. Termination

Either party may terminate services according to the termination provisions established in the applicable agreement.

Upon termination, BND DIGITAL LLC may:

Complete agreed transition procedures
Remove authorized access
Return or transfer relevant client materials
Issue outstanding invoices
Retain records where legally or commercially necessary

The client should revoke BND DIGITAL LLC's access to accounts when the business relationship ends.

23. Limitation of Responsibility

BND DIGITAL LLC is responsible for performing agreed services with reasonable professional care.

However, we cannot assume responsibility for matters outside our agreed scope or reasonable control, including independent actions of customers, suppliers, platforms, payment processors, logistics providers, financial institutions, or other third parties.

Nothing in this Service Policy excludes liability that cannot legally be excluded.

24. Changes to This Service Policy

BND DIGITAL LLC may update this Service Policy as its services, technologies, or operational practices evolve.

The most recent version will display an updated revision date.

Existing contractual obligations remain subject to the terms of the applicable agreement.
